Terms of Service – Hams.AI

These Terms of Service ("Terms") govern access to and use of the Hams.AI website (the "Site") and any products, pilots, trials, or professional services we provide (collectively, the "Services"). By using the Site or Services, you agree to these Terms and to our Privacy Policy.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. Services & Orders

• Hams.AI provides enterprise AI solutions for unified communications, agentic automation, and analytics.
• Any paid use, pilots, or deployments require a separate written Order/Agreement (SOW, MSA, or Order Form). The Site alone does not create a commercial engagement.
• Unless otherwise agreed in writing, Services are delivered remotely.

2. Acceptable Use

You will not:

• Violate applicable laws or regulations of the Kingdom of Saudi Arabia (KSA).
• Infringe the intellectual-property or privacy rights of others.
• Upload malicious code, attempt unauthorized access, or interfere with security or availability.
• Use the Services to process unlawful, highly regulated, or third-party data without having the necessary rights and notices.

We may suspend access for suspected violations.

3. Accounts & Customer Responsibilities

• You are responsible for the accuracy of information you provide, for safeguarding credentials, and for the actions of users under your account.
• You will provide timely access to required systems, APIs, and stakeholders to enable delivery.

4. Data; Confidentiality

• Customer Data remains yours. We process it solely to provide the Services and as otherwise permitted by the Agreement and Privacy Policy.
• Each party will protect Confidential Information using reasonable safeguards and use it only for the permitted purpose.
• For KSA public-sector or regulated deployments, data residency, redaction, and audit requirements can be addressed in the Order Form.

5. Hosting & Compliance

Deployment options (as agreed in the Order): on-premises, KSA private cloud, or hybrid.

We align with applicable KSA frameworks and guidance, including SDAIA, MCIT, and the National Cybersecurity Authority (NCA). Technical and organizational controls may include encryption, role-based access, logging, and audit trails.

6. Third-Party Services & Integrations

The Services may interoperate with third-party platforms (e.g., CRM, ERP, ticketing, telecom, cloud). Your use of those platforms is governed by their terms. We are not responsible for third-party services.

7. International Transfers

• Hams.AI and its licensors own all rights in and to the Services, software, models, and documentation.
• We grant you a limited, non-exclusive, revocable right to access and use the Site and (if applicable) the Services during the term of your Agreement.
• You will not copy, modify, reverse-engineer, or resell the Services except as expressly permitted.
• Feedback you provide may be used by Hams.AI to improve the Services without obligation.

8. Trials, Pilots & Beta

Trials, pilots, and beta features are provided AS IS for evaluation only, may change or end at any time, and may have additional limitations set in writing.

9. Fees & Payment (if applicable)

Fees, billing cycles, taxes, service levels, and support are defined in the Order/Agreement. Late amounts may accrue charges or lead to suspension consistent with the Agreement.

10. Warranties; Disclaimers

Except as expressly stated in a signed Agreement:

• The Site and Services are provided "AS IS" and "AS AVAILABLE."
• We disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by KSA law:

• Hams.AI is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues.
• Our aggregate liability for claims arising out of or related to the Site or Services is limited to the amounts paid to Hams.AI for the Services giving rise to the claim during the 12 months before the event.

12. Termination & Suspension

We may suspend or terminate access for material breach, unlawful use, or risks to security/availability. You may stop using the Site at any time. Termination provisions for paid Services are set in the Agreement.

13. Changes to the Terms

We may update these Terms from time to time. Changes are effective upon posting on the Site. Continued use of the Site or Services after changes means you accept the updated Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The courts of Riyadh have exclusive jurisdiction over disputes, unless otherwise agreed in a signed contract.
